Terms of Service
The agreement between you and Spatial Map. We tried to keep the legalese to a minimum — where you see jargon, the law required it.
Acceptance
These Terms of Service (the “Terms”) form a binding agreement between you and Spatial Map (“Spatial Map”, “we”, “us”) — an independently operated software service reachable at spatialmap.io — governing your access to and use of the Spatial Map platform, including the web app, APIs, SDKs, documentation, and any related services (collectively, the “Platform”).
Merchant of record. Spatial Map is the seller and merchant of record for all paid Subscriptions. Payments are processed by our payment service provider, Stripe, which handles checkout, card verification, taxes where required, and refunds under our Refund Policy. Stripe's own terms apply to the payment relationship in addition to these Terms.
By creating an account, clicking “I agree,” or otherwise using the Platform, you agree to these Terms. If you are using Spatial Map on behalf of a company or other organisation, you represent that you have authority to bind that entity, and “you” refers to both you individually and that entity.
If you do not agree to these Terms, you must not use the Platform.
Definitions
- Workspace — an isolated tenant on the Platform containing your facility layouts, users, roles, and integrations.
- Customer Content — anything you upload, draw, import, or otherwise submit to the Platform.
- Authorised Users — members of your Workspace who you invite and who accept the invitation.
- Subscription — the paid plan you have selected, including its features, quotas, and billing terms.
- Documentation — the user guides, API references, and examples we publish at spatialmap.io/docs.
Your account
You are responsible for keeping your credentials safe and for everything that happens under your account. Tell us right away at [email protected] if you suspect any unauthorised use.
You must be at least 16 years old to use Spatial Map.
Acceptable use
You agree not to:
- Use the platform to violate any law or third-party rights.
- Reverse engineer, decompile, or attempt to extract our source code.
- Use the platform to send spam, malware, or anything that disrupts service for others.
- Resell, sublicense, or white-label the platform without a written agreement.
Subscription & payment
Paid plans are sold and billed by Spatial Map. Payment processing is handled by our payment service provider, Stripe, which handles checkout, card verification, and invoicing on our behalf. Prices are shown on the Platform's pricing page and confirmed by Stripe at checkout in your local currency where available.
Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from the Subscription screen inside the app or via the Stripe customer portal linked in your Stripe receipt email — cancellation stops the next renewal but does not, by default, refund the current period.
Refunds are handled per our Refund Policy, and any statutory right of withdrawal you have under consumer-protection law in your country of residence is preserved regardless of anything in these Terms.
If Stripe declines your payment or a charge is reversed, we may suspend paid features until payment is restored. For billing disputes, use the payment-issue link in your Stripe receipt or email [email protected]and we'll route it.
Your content
You own everything you create on the Spatial Map platform — your facility layouts, your bin data, your custom fields, your uploaded models.
You grant us a limited licence to host, copy, transmit, and display your content for the sole purpose of operating the platform.
Our intellectual property
The Spatial Map platform, the website, the documentation, and all related logos and trademarks are owned by us or our licensors. We grant you a non-exclusive, non-transferable licence to use them as part of the platform — nothing more, nothing less.
Confidentiality
We treat your content as confidential. We'll only access it when needed to provide support, investigate abuse, or comply with the law — and we'll tell you when we do, unless legally prohibited.
Disclaimers
The platform is provided “as is”. We make no warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law. Use the platform at your own risk for safety-critical decisions.
Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or related to these Terms will not exceed the greater of (a) the fees you paid us in the 12 months before the claim arose, or (b) US $100. We won't be liable for indirect, incidental, special, or consequential damages.
Indemnification
You agree to indemnify and hold us harmless from any claim arising from your content, your use of the platform, or your breach of these Terms.
Term & termination
Either party can terminate the agreement at any time. We may suspend or terminate your account if you breach these Terms or use the platform in a way that risks harm to other users. On termination, we'll let you export your data for 30 days before deleting it.
Modifications
We may update these Terms from time to time. For material changes we'll give you at least 30 days' notice by email and a banner in the product. Continued use after the effective date constitutes acceptance.
Free trials & beta features
We may offer a free trial for new workspaces. Trials convert to a paid Subscription unless you cancel from workspace settings before the trial ends. We'll email a reminder before the trial expires.
Features labelled “beta,” “preview,” or “experimental” are provided as-is and may change or be removed without notice. They are excluded from any uptime commitments.
Uptime & support
We target 99.9% monthly uptime for the production Platform, measured on the public status page. Scheduled maintenance is announced at least 48 hours in advance and does not count against uptime.
Standard support is available by email to [email protected]. Priority and enterprise support levels are described in your order form or plan page.
Third-party services
The Platform integrates with third-party services (map providers, geocoders, cloud storage, payment processors, and the tools you connect via Integrations). Your use of those services is governed by their own terms. We're not responsible for third-party services that we do not control.
Export & compliance
You will comply with all applicable export-control and sanctions laws. You will not use the Platform if you are located in, ordinarily resident in, or otherwise subject to sanctions that would prohibit our provision of the Platform to you.
Governing law
These Terms are governed by the laws of England and Wales, without regard to conflicts-of-law principles. Disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales, except that either party may seek injunctive relief in any court of competent jurisdiction.
Nothing in this section deprives you of any mandatory consumer-protection rights available in your country of residence.
Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, DPA, and any order form, form the entire agreement between you and Spatial Map.
- Assignment. You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition, or sale of assets.
- Severability. If any provision is held unenforceable, the remainder will remain in effect.
- Notices. Legal notices to Spatial Map must be sent to [email protected]. Notices to you may be delivered by email to your account address.
- No waiver. Failure to enforce any provision is not a waiver of our right to enforce it later.
